The Employment Concierge Services Agreement

This Employment Concierge Services Agreement (the “Agreement” or the “Terms”) governs the terms and conditions under which Forework LLC will provide certain employment and labor counseling services (the “Service”), as further detailed in this Agreement, and the terms and conditions under which You, the purchaser and user of the Service, will receive and pay for those Services.

Fees. You will be charged a monthly fee, depending on the size of your workforce, for 12 months. You will provide a working credit card on our file and You authorize Forework to charge your credit card each month for the Service. Your first month’s fee is due at the time of the Agreement signing (the “Anniversary Date”).Each fee thereafter will be charged on the Anniversary Date. You may make the first payment online, on Forework’s website. Or, You may provide your credit card information below and authorize Forework to charge the first month’s fee. The 12-month period during which You will receive the Service is referred to as the “Term.”

Description of Services. In exchange for your payment of the Fees, Forework agrees to provide you with unlimited email and/or phone support for your human resources questions, situations, and issues. In conjunction with such counsel and support, Forework may provide you with documents and forms (collectively, the “Documents”) to ensure that Your business is in compliance with all employment laws. In addition, as part of the Service, you will receive updates and monthly news alerts about topics of interest to you, as an employer.We might check in with you to ensure that you are up-to-date regarding any new legal employment requirements but, as a general matter, you will be required to initiate any conversations and questions with Forework when issues arise in your business.In other words, the Forework Concierge is not the equivalent of an internal human resources person that will be actively monitoring your business and human resources operations each and every day. However, when issues do arise or you have questions, which might be often, we will be glad to help!

Work Flow. Upon entering into this Agreement, Forework will assign You an employment concierge (the “Concierge”) that will be Your dedicated human resources professional for the duration of the Term. Your Concierge will conduct an initial meeting (“Initial Meeting”) with You to determine Your current employment and human resources needs, evaluate if there are any immediate or pending proceedings in which You might need assistance, and establish a working schedule. As a general matter, You will be required to seek out the support and assistance of Your Concierge on any issues that arise; the Concierge will not interfere with Your operations. Notwithstanding the foregoing, if You and Your Concierge agree that Your needs are for the Concierge to spearhead specific projects or matters (such as to be in charge of all unemployment insurance matters), then the Concierge will work on those matters for You without the need for You to contact and involve the Concierge each time. You can assign to the Concierge several projects to spreadhead. For example, You might ask the Concierge to oversee employee complaints, employee training, onboarding, and leave administration. The scope and level of involvement will be decided by You, in collaboration with Your assigned Concierge, at the Initial Meeting and written out. The scope of the work can be changed by You and the Concierge after the Initial Meeting upon request.

The Concierge will be available to You during normal business hours (which we define to be 8 a.m. to 5 p.m. EST) for any assistance that You might seek out.

The Concierge will be introduced to Your employees based on how You and the Concierge decide to introduce the Concierge during the Initial Meeting. Similarly, the manner in which You decide to have the Concierge communicate with Your employees, if at all, will be decided by You and the Concierge during the Initial Meeting. For example, You can choose to assign the Concierge an internal email account within your Company and have all Your employees contact the Concierge in that manner. Or, You can choose to provide Your employees the Concierge’s Forework email and phone number for any human resources matters that those employees might wish to discuss with the Concierge.

Forework Consulting. Forework is not a law firm and does not provide legal advice. No attorney-client relationship will be formed between You and Forework due to Your purchase of the Service, or any communications You may have with any Forework representative pursuant to the Service.

Term. This is a one-year contract between You and Forework (the “Agreement”). This Agreement is only terminable with at least 30 days’ written notice prior to the renewal date. The renewal date is the 30 calendar day period immediately preceding the 1-year anniversary of the date that You signed the Agreement.

Miscellaneous Terms. The Agreement is the sole and entire agreement between You and Forework regarding Your use of Forework’s Documents. The Agreement supersedes all prior and contemporaneous understandings, agreements, representations, warranties, both oral and written regarding Forework. The Agreement constitutes an agreement between Forework and You, and does not inure to the benefit of any third party.If any provision of the Agreement is held by a court or other tribunal of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.

Venue and Choice of Law. The Terms will be interpreted in accordance with the laws of New York State. All matters relating to Forework, the Agreement, and any dispute or claim arising therefrom or related thereto shall be governed by and construed in accordance with the internal laws of New York State, without giving effect to any choice or conflict of law provision or rule. Any claim, suit, action, or proceeding arising out of or related to Forework’s Service or Document(s), the Agreement, or Forework generally will be instituted and heard in Albany County, New York State.

EXCEPT AS EXPLICITLY SET FORTH HEREIN, FOREWORK MAKES NO REPRESENTATION, WARRANTY, OR GUARANTY AS TO THE COMPLIANCE, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY OR COMPLETENESS OF FOREWORK SERVICES, DOCUMENTS, OR ANY PART THEREOF. FOREWORK DOES NOT REPRESENT OR WARRANT THAT FOREWORK WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS, OR THAT IT WILL ENSURE YOU ARE NEVER SUED FOR ANY EMPLOYMENT RELATED CLAIM,THAT YOU ARE NOT AUDITED FOR ANY EMPLOYMENT VIOLATION, OR THAT THE SERVICES ARE COMPLIANT WITH ANY EMPLOYMENT LAW, WHETHER FEDERAL, STATE

OR LOCAL LAW. FOREWORK SERVICES AND DOCUMENTS ARE PROVIDED TO THE COMPANY STRICTLY ON AN “AS IS” BASIS AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY THEREOF IS WITH THE COMPANY. ALL CONDITIONS, REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT OF THIRD-PARTY RIGHTS, ARE HEREBY DISCLAIMED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW. FOREWORK SHALL NOT BE RESPONSIBLE OR LIABLE FOR THE DELETION, CORRUPTION, DESTRUCTION, DAMAGE, BREACH, LOSS OR FAILURE TO STORE ANY COMPANY DATA EXCEPT FOR THE DESTRUCTION OR DELETION DUE TO FOREWORK’S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD AND UNDER CIRCUMSTANCES IN FOREWORK’ SOLE CONTROL.

Limitation of Liability. In no event shall Forework be liable to Company for any indirect, punitive, special, exemplary, incidental or consequential damages arising out of or in any way connected with the provision of Services or the Document(s), regardless of whether Forework has been advised of the possibility of such damages, losses, costs or expenses. You agree that any claim or cause of action related to this Agreement, or any Forework services must be filed within 180 days after the events underlying the claim, cause of action or any alleged error occurred, regardless of when the error or claim became known to You. You agree that failure to assert a claim or bring a cause of action within this 180-day limitations period will forever bar Your right to further pursue a claim arising out of the same error, circumstances, or events. The maximum aggregate liability of Forework arising out of or relating to Forework’s sale of the Services or Document(s) to You, under any theory of liability (including without limitation tort, contract, strict liability or any other legal or equitable theory) will not exceed the amount of Fees paid by You for the Services or the Document(s).

Arbitration. You agree to resolve any and all claims, lawsuits, challenges or disputes that You may bring, file, or initiate, and which arise out of or relate to Your use of Forework, the Document(s), the Services, the Agreement, or any relationship with Forework (“Claim”) through final and binding arbitration under JAMS.

You waive the right to bring any Class on a class or any other collective basis and agree to only bring Claims on an individual basis.
